Clozure, Inc. – Terms of Service

Welcome to Clozure. These Terms of Service (“Terms”) govern your access to and use of Clozure’s digital end-of-life planning platform, website, mobile applications, and related services (collectively, the “Services”). By accessing or using our Services, you agree to these Terms. If you do not agree, you may not use Clozure apps or services.

1. Eligibility
  • You must be at least 18 years old (or the age of majority in your jurisdiction) to use Clozure’s apps or services.
  • By using Clozure’s apps or services, you represent that you have the legal capacity to enter into these Terms.
2. Account Registration
  • To use certain features, you must create an account and provide accurate, complete information.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
3. Description of Services
Clozure provides tools and resources to help you plan, organize, and manage end-of-life arrangements, including (but not limited to):
  • Document storage and sharing,
  • Digital vaults, checklists, and guidance content,
  • Connection to third-party service providers.
Important: Clozure does not provide legal, financial, or medical advice. You should consult appropriate licensed professionals for guidance in those areas.

4. Acceptable Use
You agree not to:
  • Use the Services for unlawful, fraudulent, or malicious activity.
  • Interfere with or disrupt the Services, or attempt to gain unauthorized access.
  • Upload harmful content (e.g., viruses, hate speech, illegal materials).
We reserve the right to suspend or terminate accounts that violate these Terms.

5. Payment & Subscriptions
  • Some features are free; others require a paid subscription.
  • Prices and subscription options are disclosed at checkout.
  • Subscriptions automatically renew unless canceled before the renewal date.
  • All fees are non-refundable except where required by law.
6. Privacy & Data
  • Our Privacy Policy explains how we collect, use, and safeguard your data.
  • You retain ownership of content you upload, but grant Clozure a license to store, process, and display it as necessary to provide the Services.
7. Service Availability
  • We strive for 24/7 availability, but do not guarantee uninterrupted access.
  • Maintenance, updates, or technical issues may cause downtime.
8. Third-Party Services

The Services may integrate with or link to third-party providers (e.g., funeral homes, legal service partners). Clozure is not responsible for third-party products, services, or advice.

9. Intellectual Property

All content, software, and trademarks on Clozure’s app and website (excluding user-uploaded materials) are owned by Clozure, Inc. or its licensors and protected by law.

10. Disclaimers
  • The Services are provided “as is” and “as available.”
  • Clozure disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
  • Clozure is not liable for decisions you make based on our tools, content, or recommendations.
11. Limitation of Liability
To the maximum extent permitted by law:
  • Clozure’s liability to you will not exceed the amount you paid us in the 12 months before the claim.
  • Clozure is not responsible for indirect, incidental, special, or consequential damages.
12. Indemnification

You agree to indemnify and hold Clozure, Inc., its affiliates, and employees harmless from claims arising out of your use of the Services or violation of these Terms.

13. Termination

You may stop using the Services at any time. We may suspend or terminate your access if you violate these Terms.

14. Governing Law & Dispute Resolution
  • These Terms are governed by the laws of Austin, Texas, without regard to conflicts of law.
  • Any disputes will be resolved by binding arbitration in Austin, Texas, unless prohibited by law.
15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes, and continued use of the Services means you accept the new Terms.
